Founding Instrument

At which the following arrangements for governance were adopted pending a general meeting of the newly formed association

 

 

 

Interim Governance

 

1. The Name

 

The association will be known as The Forum for Storytelling in Wales hereinafter called “the Association”

 

 

 

2. The Objects

 

The purpose of the association is the promotion and study of, and research into oral storytelling in Wales through:-

 

1.  The promotion of Storytelling as a contemporary performance art form

 

2.  The study and development of storytelling skills

 

3.  The promotion of use of storytelling as a valuable tool in a range of disciplines including education, community understanding and cohesion, social justice, health and social care and others.

 

 

 

3. Powers

 

 

 

In order to achieve its objects the association may undertake the activities listed here on its own initiative or working with national, international, cultural, artistic, educational or other organisations.

 

3.1              The association may organise, manage and promote :-

 

3.1.1     Storytelling performances and events

 

3.1.2     Activities that advance public education and knowledge of  storytelling

 

3.1.3     Activities that offer professional development to storytellers

 

 

 

3.2              The association may, under the terms of the Data Protection Act,

 

             maintain an information database.

 

 

 

3.3            The association may publish materials both on paper and electronically

 

 

 

3.4          The association may collect and disperse funds and other resources solely in pursuit of its objects

 

3.5          The association may undertake other actions solely in pursuit of its objects

 

3.6          The association will at all times seek to pursue its objects in all parts of Wales, recognise the bilingual nature of Wales and to make its activities relevant to the rich diversity of the population of Wales.

 

 

 

 

 

4. Membership

 

4.1            Any individual or organisation that supports the objects of the association may apply for membership.

 

4.2            The Executive Committee may set a tariff for membership, which will normally be approved by the general meeting

 

 

 

4.3            Applications for membership will normally be approved by the Executive Committee on receipt of the appropriate fee, if any.  The Executive  Committee may delegate this responsibility to a subgroup of no less than three.

 

4.4            Membership may be refused or withdrawn, by the Management Committee, if the interests of the Association are put at risk by the member or potential member.  The reason for refusal or withdrawal of membership will be communicated to the applicant or member in question in writing.  They will have an opportunity to challenge any decision at the following general meeting of the association.

 

 

 

5. Management of the Association

 

           

 

5.1            An executive committee will be appointed by the membership at a general meeting to manage the association.  The Executive committee will consist of at least a Chairman, a secretary a treasurer and three ordinary members.

 

 

 

5.2            An initial executive committee appointed by the founding members of the association holds office until the first general meeting of the association.

 

 

 

6. General Meetings

 

 

 

General meetings will be convened by the executive committee.

 

 

 

6.1            The first general meeting of all members will take place as soon as possible and within a calendar year of the foundation of the association.

 

 

 

6.2            The secretary will ensure that notice of the time, date and venue of the first general meeting will be made public and will be circulated to as many potential members as possible at least 30 days before the meeting.

 

 

 

6.3          Thereafter general meetings will be held annually with not more than 15 months between meetings.

 

6.4          The secretary will issue notice of annual general meetings to members in a manner to be agreed at least 30 days before the meeting.

 

 

 

7. Financial arrangements

 

 

 

7.1            Any monies held by the association shall be held in a bank account or building society account in the name of the association

 

7.2            The said account will be managed by three members of the executive committee acting as signatories, the signature of at least two of which will be required on all payments from the account.

 

 

 

8. Governance

 

 

 

8.1          The founding executive committee will be responsible for drafting and consulting on an instrument of governance to be confirmed at a general meeting of the membership, the constitution.

 

8.2          The constitution will include the objects of the association as stated in this document

 

8.3          The constitution will include arrangements for general meetings, election of officers and all other necessary clauses

 

8.4          The constitution will include a dissolution clause which disperses any remaining funds in such a way as to promote storytelling in Wales

 

9              Dissolution

 

Failure to comply with any clauses in sections 5, 6, 7, and 8 within a calendar year of the acceptance of this document will result in the dissolution of the association and the signatories of the account in which any funds are held must as the earliest opportunity use such funds in a way which promotes storytelling in Wales.
